This Confidentiality Clause (the "Clause") outlines the terms and conditions governing the use of the members-only area of the trade associations’ websites (the "Website") by their respective registered members. By accessing and using these members-only areas, you agree to abide by the following terms and conditions:
Confidential Information
- "Confidential Information" shall include any and all data, documents, reports, proprietary information, intellectual property, and other materials made available within the members-only area of the Website, as well as any information discussed or exchanged within the Website's forums, discussion boards, or any other interactive platforms provided therein.
- You acknowledge that all Confidential Information is the sole and exclusive property of the appropriate trade organization, and you have no ownership rights, title, or interest in any Confidential Information.
Obligations of Members
- You agree to keep all Confidential Information strictly confidential and shall not disclose, reproduce, or distribute any Confidential Information to any third party without the express written consent of the appropriate trade organization.
- You shall take all necessary precautions to prevent unauthorized access to or disclosure of Confidential Information, including safeguarding your login credentials and not sharing them with any unauthorized individuals.
- You shall not disclose any Confidential Information to any person, firm, or entity that is not a registered member of the appropriate trade organization.
Duration of Obligations
Your obligations under this Clause shall remain in effect during your membership with your appropriate trade organization and shall survive the termination of your membership for a period of 2 years after such termination.
Compliance
Any breach of this Clause may result in the suspension or termination of your membership and may also lead to legal action for damages and injunctive relief.
Acknowledgment
- By logging into the members-only area of the Website(s) below, you acknowledge and agree to be bound by the terms of this Confidentiality Clause.
- You further acknowledge that any breach of this Clause may have legal consequences.
